Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Vibgyor Techsolutions, the company operating FiveMinChat ("FiveMinChat", "we", "us", or "our"), governing your access to and use of the FiveMinChat platform, website, and related services (collectively, the "Service").

By creating an account, accessing the Service, or clicking "I agree", you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement, and agree to be bound by these Terms in full. If you are accepting on behalf of a company or organisation, you represent that you have the authority to bind that entity.

If you do not agree to these Terms, you must not use the Service.

2. Description of Service

FiveMinChat is a Software-as-a-Service (SaaS) platform that allows businesses to create, customise, deploy, and manage AI-powered chatbots on their websites. The Service includes:

• A dashboard for configuring and managing AI chatbots
• Knowledge base ingestion tools (document upload and website crawling)
• A JavaScript widget for embedding the chatbot on your website
• Conversation analytics and reporting
• An optional WordPress plugin for simplified integration

The AI functionality is powered by large language models (currently GPT-4o-mini via OpenAI's API). The quality, accuracy, and completeness of chatbot responses depend on the content you provide and the inherent capabilities of the underlying AI model.

3. Account Registration

To access the Service, you must create an account by providing accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately at hello@fiveminchat.com if you suspect unauthorised access

You may not share your account with others, create multiple accounts for the same business, or use automated means to create accounts. We reserve the right to disable or delete accounts that violate these Terms.

4. Subscription Plans and Billing

FiveMinChat offers the following subscription plans, billed monthly:

• Starter: Rs. 499/month - up to 300 conversations per month
• Growth: Rs. 999/month - up to 1,000 conversations per month
• Pro: Rs. 1,999/month - up to 3,000 conversations per month

USD pricing is available for customers outside India. USD prices are displayed on our pricing page based on your detected location.

Free Trial

All new accounts receive a 7-day free trial. No credit card is required to start your trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service.

Billing

Subscriptions are billed monthly on your billing date. Payment is processed securely via Razorpay. By subscribing, you authorise us to charge your payment method on a recurring monthly basis until you cancel.

Refund Policy

Conversation Limits

Conversation counts reset at the start of each billing cycle. If you reach your monthly limit before the reset date, your chatbot will gracefully notify visitors that the limit has been reached. You can upgrade your plan at any time to increase your limit immediately.

Price Changes

We reserve the right to change subscription prices. We will provide at least 30 days' notice of any price increase via email. Your continued use of the Service after the price change takes effect constitutes your acceptance of the new pricing.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to:

• Transmit, distribute, or store any content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable
• Impersonate any person or entity, or falsely claim an affiliation with any person or entity
• Upload malware, viruses, or any other malicious code
• Collect personal data from visitors without proper disclosure and consent
• Send unsolicited communications (spam) through the chatbot
• Engage in any activity that infringes on the intellectual property rights of others
• Attempt to probe, scan, or test the vulnerability of our systems or networks
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service in any manner that could subject FiveMinChat to legal liability or regulatory scrutiny
• Reverse engineer, decompile, or disassemble any component of the Service

We reserve the right to suspend or terminate your account immediately and without notice if we determine, in our sole discretion, that you have violated this Acceptable Use Policy.

6. Intellectual Property

Our Property

The Service, including its software, design, graphics, user interface, trademarks, and all related intellectual property, is owned by Vibgyor Techsolutions and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service solely for your internal business purposes during the term of your subscription.

Your Content

You retain all ownership rights to the content you upload to the Service (documents, website content, chatbot configurations). By uploading content, you grant FiveMinChat a non-exclusive, royalty-free licence to process, store, and use that content solely for the purpose of providing the Service to you.

You represent and warrant that you have the right to upload any content you provide to the Service and that such content does not infringe any third-party rights.

7. Data and Privacy

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You are responsible for ensuring that your use of the Service (including the data you collect through your deployed chatbot) complies with all applicable data protection laws, including obtaining appropriate consent from your website visitors where required.

8. Service Availability and Uptime

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, unplanned outages, or events beyond our control.

We will endeavour to:

• Notify you in advance of scheduled maintenance windows that affect the Service
• Restore service as quickly as possible in the event of unplanned downtime
• Maintain a target uptime of 99% measured on a monthly basis (excluding scheduled maintenance)

We are not liable for any losses or damages arising from service interruptions, whether scheduled or unplanned.

9. Limitation of Liability

To the fullest extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
• FiveMinChat and Vibgyor Techsolutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service.
• Our total aggregate liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you to FiveMinChat in the three months preceding the claim.
• We are not responsible for the accuracy, completeness, or appropriateness of AI-generated chatbot responses. You are responsible for reviewing and validating the content your chatbot provides to visitors.

10. Termination

By You

You may cancel your subscription at any time through your dashboard or by contacting us at hello@fiveminchat.com. Cancellation takes effect at the end of your current billing period. No refunds are provided for the remaining portion of a billing cycle.

By Us

We may suspend or terminate your access to the Service immediately and without notice if you breach these Terms, fail to pay fees when due, or if we determine in our sole discretion that continued provision of the Service poses legal or operational risk.

Effect of Termination

Upon termination, your access to the Service and all associated data (chatbot configurations, uploaded documents, conversation logs) will be scheduled for deletion within 30 days. You are responsible for exporting any data you need before termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of West Bengal, India.

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute in good faith through direct negotiation for a period of 30 days.

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email at least 14 days before the changes take effect. The updated Terms will be posted on this page with a revised "Last updated" date.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date.
